PCMA Terms of Use

The Pennsylvania Concrete Masonry Association

Good-Standing Members are granted a limited, non-exclusive, non-transferable, royalty-free, worldwide right and license to use the PCMA logo on letterhead, business cards, stationary, promotional materials and Internet Web sites to identify themselves as PCMA members. A sample of each item that will contain the PCMA Marks shall be submitted to PCMA for approval prior to first use. If PCMA does not respond within 15 days after submission, approval to the Good Standing Member by PCMA is deemed given. Good-Standing Members acknowledge that the PCMA logo is not a quality assurance seal, and the PCMA logo shall not be used in any manner that could be perceived as an approval, endorsement or sponsorship of products or services by Pennsylvania Concrete Masonry Association. If PCMA decides that use of the PCMA logo jeopardizes the integrity of the PCMA, such use must immediately cease. You shall not alter the logo or the PCMA Marks in any way. Good-Standing Members shall not sublicense, assign or otherwise transfer any of the rights specified herein. Pennsylvania Concrete Masonry Association may revoke the right to use the PCMA logo at any time and for any reason, or; the PCMA logo is subject of a claim of infringement; or the PCMA logo is used in a manner not in accordance with these Terms and Conditions. Your right to use the PCMA logo is revoked in the event that you are no longer a Good-Standing Member. You may not use “Pennsylvania Concrete Masonry Association” or “PCMA” in your business name or use words that in any way imply association with PCMA.


OWNERSHIP
All right, title and interest to the PCMA Materials and PCMA Marks shall remain with PCMA. Nothing herein shall give rights other than the right to use the PCMA Materials or PCMA Mark according to the Terms and Conditions. All Good Standing Members should assist PCMA in maintaining the integrity of the PCMA Marks and PCMA Materials by informing PCMA of any unauthorized or improper use of the PCMA Marks or PCMA Materials.


TERMINATION
PCMA reserves the right to modify, change or terminate these Terms and Conditions, or any of them, without notice at any time for any reason. You are responsible for regularly reviewing these Terms and Conditions. Upon revocation or termination, you shall promptly stop using the PCMA Materials and/or the PCMA Marks, and cease any further distribution of any material or publication containing the PCMA Materials and/or PCMA Marks.


DISCLAIMER
The PCMA materials and PCMA marks are provided by Pennsylvania Concrete Masonry Association on an “as is” basis. Pennsylvania Concrete Masonry Association. Disclaims all warranties, express or implied, regarding the PCMA materials and the PCMA marks, including the implied warranties of merchantability and fitness for a particular purpose, non-infringement, freedom from typographical errors, and warranties arising from the course of dealing or course of performance.


LIMITATION OF LIABILITY
Pennsylvania Concrete Masonry Association shall not be liable for any special, incidental, or consequential damages arising or related to use of the PCMA materials or the PCMA marks, or termination of the terms and conditions, even if PCMA has been previously advised of the possibility of such damages. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy because some jurisdictions do not allow limitations on how long an implied warranty lasts, or the exclusion or limitation of liability for consequential or incidental damages.


INDEMNIFICATION
You agree to indemnify, defend and hold harmless PCMA, its officers, directors, employees and members, from and against all losses, expenses, damages and costs, including reasonable attorney fees, resulting from any violation of these terms and conditions. The Terms and Conditions shall be governed by and construed according with the laws of the United States and the Commonwealth of Pennsylvania without regard to conflicts of law principles. You agree to submit to the jurisdiction of, and waive any venue objections to, the United States District Court for the Middle District of Pennsylvania or the Court of Common Pleas of Lebanon County, Pennsylvania in any proceeding arising out of these Terms and Conditions.
